Bakrie & Brothers Completes Rp3.56 Trillion Acquisition of Cimanggis–Cibitung Toll Road, Secures Full Ownership

JAKARTA, Investortrust.id — Bakrie & Brothers Tbk, or BNBR, has completed a Rp3.56 trillion acquisition of Cimanggis Cibitung Tollways and now fully owns the strategic 26-kilometer road connecting Depok, Bogor, Bekasi, and the Trans-Java corridor. The transaction consolidates control of one of JORR 2’s most important arteries at a time when BNBR is expanding its long-term infrastructure portfolio.

“Transaksi ini dilakukan sehubungan dengan adanya peluang strategis bagi perseroan untuk mengakuisisi seluruh kepemilikan saham CCT yang saat ini dimiliki SMI sebesar 55 persen dan WTR 35 persen,” CEO BNBR Anindya Novyan Bakrie said after signing the sale-and-purchase agreement in Jakarta on Friday, November 28, 2025.

Anindya said the divestment by PT Sarana Multi Infrastruktur and PT Waskita Toll Road provided the right moment for BNBR to take full ownership of Cimanggis Cibitung Tollways.

“Pertimbangan utama dilakukannya transaksi ini adalah untuk memperkuat posisi grup usaha perseroan di sektor infrastruktur nasional sejalan dengan strategi bisnis jangka panjang perseroan yang berfokus pada pengembangan infrastruktur dan manufaktur,” he said.

He added that 100 percent ownership would allow the group to optimize operational synergies, strengthen control over the asset, and generate more sustainable revenue contributions to the consolidated business.

BNBR’s Vice President Director A Ardiansyah Bakrie said the takeover was executed through the purchase of 72 million shares — representing 90 percent of CCT’s paid-up capital — comprising 44 million shares from SMI and 28 million from WTR for a combined Rp1 trillion.

He also confirmed the acquisition of shareholder loans. “Nilainya sekitar Rp2,56 triliun yang merupakan pokok pinjaman dari pemegang saham tersebut,” Ardi said, referring to debt previously extended by SMI and WTR to CCT.

Ardi emphasized the road’s strategic value within the JORR 2 network. “Ruas jalan tol ini juga menjadi bagian penting dalam meningkatkan konektivitas dan efisiensi transportasi, serta pertumbuhan kawasan industri dan ekonomi di sekitar Jabodetabek,” he said.

Cimanggis Cibitung Tollways holds a 45-year concession ending in August 2061 and manages planning, financing, construction, operations, and maintenance of the road. The toll road opened fully on July 9, 2024, following an inauguration by Vice President Ma’ruf Amin, and is now an essential link to Jakarta–Cikampek, Jagorawi, Cinere–Jagorawi, and future southern corridors.
