JAKARTA, Investortrust.id — PT Sawit Sumbermas Sarana Tbk or SSMS completes the Rp 1.6 trillion acquisition of Sawit Mandiri Lestari on Tuesday, Nov 25, 2025 in Jakarta to reinforce its supply chain and expand its footprint in Central Kalimantan as global palm oil markets face renewed volatility. The company buys 98,328 shares from its parent Citra Borneo Indah, a move expected to support long term growth and operational efficiency.
PT Sawit Sumbermas Sarana Tbk was controlled by PT Citra Borneo Indah, which held 62.3 percent of the shares. The company said the transaction did not disrupt operations or weaken its financial position.
Jap Hartono, President Director of PT Sawit Sumbermas Sarana Tbk, said the acquisition was funded through a syndicated facility signed earlier in the month. "The funding for this asset purchase comes from a bank syndication loan facility based on the Syndicated Loan Agreement No. 17 and the Syndicated Musyarakah Financing Line Facility Agreement No. 18, both dated Nov 18, 2025," he said.
Management said the acquisition aligned with long term expansion and sustainability objectives supported by strong fundamentals. SSMS operated in agriculture, trade, and palm oil processing with products including crude palm oil and palm kernel.
The deal followed the company’s Rp 5.2 trillion syndicated financing led by Bank Rakyat Indonesia. The facility covered refinancing, plantation development, infrastructure, sustainability programs, the SML acquisition, and working capital needs.
The company reported resilient results in a volatile global environment. SSMS posted third quarter 2025 net profit of Rp 1 trillion, up 64.2 percent year on year, equivalent to Rp 105.4 per share.
Jap Hartono said the purchase strengthened SSMS production network in Central Kalimantan. "This corporate action strengthens our supply chain and operational efficiency in Central Kalimantan, in line with the company’s long term expansion vision," he said.
