By unbundling buyer discovery, payment rails, and logistics networks into an open, interoperable utility, Jakarta is betting that public protocol rails can expand market access for fragmented mom-and-pop sellers while keeping technological sovereignty in domestic hands. If successful, the model could rewrite how Southeast Asia's burgeoning informal commercial sector interfaces with the global web.
"Today marks the official signing and establishment of PT Indonesia Open Network," said Bayu Prawira Hie, President Director of PT ION, speaking on Friday after the signing ceremony in Jakarta. "PT ION was not formed to be another startup. It is digital public infrastructure, built collectively for the common good."
Engineering a Non-Controlling Capital Structure
The entity's commercial architecture has been calibrated specifically to avert hostile takeovers or private monopolization. While the company holds authorized capital of Rp 10 billion ($628,930) and paid-up capital of Rp 2.5 billion ($157,232), its leadership is launching an aggressive $100 million first-stage capitalization drive.
Rather than leaning on a dominant venture capitalist or sovereign patron, ION is syndicating the funding among a broad consortium of 20 distinct institutional participants, with each equity check capped at roughly $5 million.
"Our target is to secure $5 million from 20 enterprises to assemble a $100 million capitalization pool," Sachin Gopalan, Chief Executive of early-stage backer PT Chairos International Ventures, said in Jakarta on Friday. "The governing principle is absolute: no single party may hold a dominant stake. Everyone receives an equitable, distributed share."
Chairos currently serves as an interim holding entity, holding 2.5 million Series A shares that will be reallocated directly to incoming domestic and international corporate backers spanning state-owned enterprises, commercial banks, industrial conglomerates, and software platforms. Global tech giant Google has already endorsed the framework, funneling non-dilutive development grants through ION's incubation unit under a co-funding blueprint alongside institutional partners. Similar open-network deployments are being prepared across Malaysia, Thailand, and Brazil.
A Golden Share for Public Governance
To ensure corporate profits do not subordinate public utility, the enterprise's ownership structure includes a dedicated governance safeguard. Outside the 2.5 million commercial shares, exactly one share—a distinct "golden share" conferring veto powers over organizational charter deviations—is permanently vested in the non-profit Yayasan ION Teknologi Indonesia.
"The foundation is not an investment vehicle, but an unyielding mission guardian," Gopalan explained on Friday. "This is a public utility infrastructure enterprise. It cannot be allowed to stray from its core public mandate."
Ronald Walla, Chairman of the Yayasan ION Teknologi Indonesia and President Director of publicly traded tobacco group PT Wismilak Inti Makmur Tbk (WIIM), emphasized that maintaining an unaligned arbiter is vital as the company's shareholder register swells with competing balance-sheet interests.
"When an operating company hosts diverse corporate stakeholders, each carries self-interest," Walla said on Friday. "There must be a neutral entity guaranteeing that private agendas do not compromise the public mission."
Commercial Execution and the Push into the Hinterlands
ION has already initiated operational groundwork, completing preliminary buyer and seller software applications while cementing initial retail pilot agreements with convenience chain Indomaret alongside regulatory collaboration with the Ministry of Micro, Small, and Medium Enterprises.
The operational focus is targeted at the structural distribution bottlenecks that handicap grassroots merchants, who routinely lack the marketing capital or technological literacy to survive on fee-heavy, algorithmically gated commercial super-apps.
"The core structural deficiency confronting small merchants is market access and customer acquisition," Walla noted on Friday. "This framework functions as an ultra-efficient tool to drive merchant productivity."
Beyond urban micro-merchants, executive leadership plans to extend protocol access across agricultural supply chains, smallholder farming collectives, and rural credit cooperatives. With corporate incorporation complete, management is now executing organizational staffing and solidifying legal integration pacts, transforming theoretical open-commerce protocols into working market infrastructure.
