Key Takeaways
|
JAKARTA, Investortrust.id — Academic research commercialization is testing public market appetite in Jakarta, as university-backed healthcare manufacturer PT Swayasa Prakasa Tbk (SWAP) officially opened the bookbuilding process for its initial public offering on the Indonesia Stock Exchange (IDX).
The commercial manufacturing arm linked to prestigious state institution Universitas Gadjah Mada (UGM) is seeking to raise up to Rp 45.22 billion ($2.84 million) by offloading a minority stake to public investors.
Academic spin-offs remain a rare breed on Southeast Asian bourses, where initial listings are traditionally dominated by family conglomerates, natural resource operators, and consumer brands.
SWAP’s market debut tests investor appetite for research-driven domestic health manufacturing, setting a key precedent for Indonesian universities seeking to monetize intellectual property and downstream research through equity capital markets.
Offer Structure and Capital Allocation
According to the company's IPO prospectus released Monday, Aug. 24, 2026, SWAP will offer up to 323 million new ordinary shares, representing a maximum of 30.30% of its post-offering paid-up capital, with a par value of Rp 20 per share.
Management set the initial price guidance between Rp 130 and Rp 140 per share, giving the offering a maximum headline value of Rp 45.22 billion ($2.84 million).
The company earmarked approximately Rp 15.8 billion ($993,700) from the net proceeds to finance operational working capital, focusing directly on increasing manufacturing plant capacity and boosting product quality control.
Capital expenditures will absorb roughly Rp 12.2 billion ($767,300), while another Rp 12 billion ($754,700) is allocated to settle outstanding corporate liabilities owed to university holding entity PT Gama Multi Usaha Mandiri (GMUM) and Yayasan Universitas Gadjah Mada (YUGM).
To lead the public issuance, the company appointed local brokerage PT Sukadana Prima Sekuritas as the sole lead underwriter.
University Commercialization Pipeline
Incorporated in January 2012 and commencing active commercial operations in 2014, SWAP was designed from inception as an institutional vehicle to transition university-level medical research into scaled, market-ready healthcare commodities.
The company operates dedicated manufacturing facilities producing research-backed health and medical goods across multiple specialized business units.
Heading into the listing, corporate holding arm PT Gama Multi Usaha Mandiri stands as the controlling shareholder with a dominant 97.16% stake, followed directly by UGM with 2.69%, institutional entity PT Radio Swara Gadjah Mada, and minority individual holder Bondan Ardiningtyas.
