Key Takeaways

JAKARTA, Investortrust.id — Indonesian entertainment juggernaut PT RANS Entertainment Indonesia Tbk is going public. The multimedia conglomerate, founded and controlled by celebrity tycoon Raffi Farid Ahmad, has launched an initial public offering (IPO) targeting up to Rp 429.25 billion ($27 million).
The RANS IPO represents a landmark monetization of Indonesia’s massive digital economy and consumer culture. By shifting from a boutique production house into an omnipresent holding group backed by artificial intelligence, live entertainment, and cosmetics, the firm is providing a public vehicle to tap directly into the soaring disposable income of Southeast Asia’s largest consumer base.
A Star-Studded Cap Table
The high-profile venture is backed by some of the most influential names in the country. Raffi Ahmad remains the undisputed controller, holding a 78.68% stake. However, the company’s capital structure includes notable figures such as Danantara's chief operating officer Dony Oskaria, who holds 3.42%, and Kaesang Pangarep, the Chairman of the Indonesian Solidarity Party (PSI), who owns a 1.14% stake. This unique blend of celebrity power and high-level political and business connectivity is expected to drive significant retail interest during the bookbuilding phase.
Other key shareholders include PT Indonesia Entertainment Grup with 9.04%, Soultan Ariq Rachman with 3.43%, Sutanto Hartono with 1.43%, Raffi's wife Nagita Slavina with 1.24%, Hikmat Janika with 0.86%, and PT Ekonomi Baru Investasi Teknologi with 0.7%.
The IPO Mechanics
According to the company's newly published prospectus, RANS is floating 2.52 billion shares, representing approximately 20.02% of its enlarged post-IPO capital. The shares are priced within a marketing range of Rp 135 to Rp 170 per share, giving the tech-driven entertainment ecosystem a powerful capital injection.
Even after public market dilution, corporate governance remains highly concentrated at the top. The company’s primary founder, Raffi Farid Ahmad, will protect his controlling interest, retaining a commanding 78.68% ownership stake. To ensure smooth capital deployment, PT Trimegah Sekuritas Indonesia Tbk, a prominent domestic investment bank, has signed on as the lead underwriter for the equity offering.
A Capital Injection for Future Growth
The corporate prospectus reveals a highly diversified expansion roadmap that reaches far beyond the company’s traditional YouTube broadcasting origins. RANS will allocate a dominant 37.61% chunk of the net proceeds directly to bankroll high-margin live music events and international concert productions across major Indonesian metropolitan centers.
The company is also pivoting fast into deep technology. RANS will use 8.15% of the capital to form an artificial intelligence technology joint venture alongside tech incubator PT Feeldoop Global Teknologi. To strengthen its consumer product ecosystem, the company will deploy another 19.80% of the funds to acquire PT Rans Kosmetika Indonesia, the corporate entity behind the rapidly growing Slavina cosmetics line.
Strengthening the Balance Sheet
Beyond its new commercial endeavors, RANS is leveraging public equity markets to optimize its balance sheet and protect its bottom line. The media empire plans to spend 6.98% of the IPO capital to make early principal repayments on its outstanding credit facilities with state-owned banking giant PT Bank Negara Indonesia (Persero) Tbk.
The remaining capital will fund the construction of "Cipungland"—an educational children's theme park and learning center capturing 18.64% of the budget—with additional capital trickling down to its core subsidiary, RNS, to bankroll future holding group operations. Since beginning commercial operations in 2018, the conglomerate has built a sprawling business network encompassing content distribution, intellectual property licensing, talent management, theme parks, and advertising.
