Haji Robert and Happy Hapsoro Sell 2.39% Stake in Petrosea, Raise Rp 715 Billion

JAKARTA, Investortrust.id — PT Caraka Reksa Optima, the second-largest shareholder of PT Petrosea Tbk, sells a 2.39% stake worth Rp 715.09 billion, or $43.97 million, on Wednesday, Aug 13, 2025, to boost the company’s free float on the Indonesia Stock Exchange.
In a statement to the bourse on Thursday, Aug 14, 2025, Petrosea said Caraka Reksa disposed of 240.86 million shares at Rp 2,968.82 each in trading the previous day. The transaction reduced Caraka Reksa’s ownership from 29.56% to 27.17%, while PT Kreasi Jasa Persada, controlled by tycoon Prajogo Pangestu, remains the controlling shareholder with a 45.31% stake.
Caraka Reksa Optima was initially controlled by mining entrepreneur Haji Romo Nitiyudo Wachjo, widely known as Haji Robert. Since mid-2023, its shareholding has become more diversified, with new investors including PT Sentosa Bersama Mitra, controlled by businessman Happy Hapsoro with a 27% stake, PT Sarana Adiwilaga Persada with 16.95%, and PT Khazanah Kinarya Bersama with 2.72%.
The stake sale comes shortly before Petrosea’s inclusion in the latest Morgan Stanley Capital International (MSCI) Indonesia Index, effective Aug 26, 2025. Other additions to the index include CUAN, DSSA, and four more stocks.
Separately, on Friday, Aug 1, 2025, Petrosea signed a conditional agreement to acquire 100% of HBS (PNG) Limited and its subsidiaries for 40 million Australian dollars, or $25.76 million. The Papua New Guinea-based HBS Group, established in 2006, is a leading mining and construction services provider as well as a distributor of heavy equipment, machinery, spare parts, and property.
HBS has long maintained strong partnerships with key players in the mining sector, particularly in gold mining. The company is currently involved in several major gold mining projects across Papua New Guinea.
