JAKARTA, Investortrust.id — PT Prodia Widyahusada Tbk, Indonesia’s premier clinical laboratory operator, announced plans on Wednesday to repurchase up to Rp 150 billion (approximately $8.4 million) of its publicly traded shares, tapping internal treasury reserves to steady its market valuation against broader equity swings.
The buyback program builds on a similar market intervention launched in 2025 on the Indonesia Stock Exchange (IDX). The transaction will run across a three-month window spanning August 20, 2026, through November 19, 2026, executed either gradually or via block purchases depending on secondary-market liquidity.
The move comes as mid-cap corporate issuers across Southeast Asia navigate choppy domestic bourses, where foreign-exchange fluctuations and broader macroeconomic shifts have weighed on equity prices. By deploying surplus cash into its own equity, Prodia joins a growing cadre of healthcare firms betting on long-term demographic tailwinds rather than short-term market sentiment to drive shareholder returns.
"As a business anchored by sound fundamentals, we view this buyback as a calculated step to signal our confidence in Prodia’s long-term trajectory," President Director Liana Kuswandi said during a briefing on Wednesday, August 19, 2026. "Amid persistent market fluctuations, our objective is to reinforce investor conviction while optimizing total returns for our equity holders."
Regulatory Green Light Bypasses Shareholder Vote
Prodia is executing the transaction under regulatory flexibilities established by the Otoritas Jasa Keuangan (OJK), Indonesia’s financial services regulator. Guided by POJK No. 13/2023, POJK No. 29/2023, and circular letter S-10/D.04/2026, the company can conduct repurchases without the administrative hurdle of convening an extraordinary general meeting of shareholders (RUPS).
"We intend to execute this buyback prudently, adhering strictly to good corporate governance principles and complying with all prevailing statutory mandates," Ms. Kuswandi added on Wednesday.
The framework gives listed entities agility during periods of excessive market volatility, allowing corporate boards to intervene swiftly when market valuations decouple from earnings performance.
Liquidity Buffer Shields Capex and Expansion
Management stressed that drawing from internal cash reserves will not constrain the healthcare chain's operational flexibility or strategic expansion plans.
"We believe PRDA’s current equity price does not fully capture the company’s underlying performance, making this buyback a disciplined capital-allocation tool to generate value," Marina Eka Amalia, Prodia's finance and sustainability director and corporate secretary, said on Wednesday.
Ms. Amalia affirmed that the clinical operator maintains a robust cash runway and positive operating cash flows, ensuring that debt service, routine maintenance, and ongoing clinic upgrades will proceed unimpeded.
"Management appreciates the continued confidence of our shareholders," Ms. Amalia noted on Wednesday. "We will remain centered on core operational execution, rigorous governance standards, and long-term enterprise value creation for all stakeholders."
