Pertamina Targets Completion of Subsidiary Merger Before December, Prepares to Spin Off Pelita Air

JAKARTA, Investortrust.id — Pertamina President Director Simon Aloysius Mantiri says the company targets completing the merger of its three subsidiaries, Pertamina Patra Niaga, Kilang Pertamina Internasional, and Pertamina International Shipping, before December 2025.
Simon says the consolidation aligns the company’s downstream initiatives with the strategic direction of the State Investment Management Agency Danantara. “The process is ongoing. We continue to coordinate with Danantara and report regularly. The goal is to complete the restructuring before the end of December 2025,” Simon said during an event at Sarinah, Jakarta, on Tuesday, Oct 7, 2025.
He emphasized that the merger is a strategic move to streamline operations, boost efficiency, and strengthen Pertamina’s financial structure amid its growing role in the national energy transition. The initiative follows Danantara’s broader mandate to optimize the performance and value of state-owned enterprises.
In addition to the merger, Pertamina plans to spin off several non-core subsidiaries as part of a broader restructuring to focus on its main businesses—oil, gas, and renewable energy.
One of the subsidiaries slated for divestment is Pelita Air, which Pertamina plans to transfer to fellow state-owned airline Garuda Indonesia. “We are conducting joint studies and meetings with Danantara and other relevant parties. Some business units, including our insurance arm, are under review. If the process moves quickly, the spin-off could be completed even before 2025,” Simon said.
The restructuring plan has gained support from Minister of Energy and Mineral Resources Bahlil Lahadalia, who called the merger a normal corporate action within Pertamina’s and Danantara’s authority.
“Corporate actions like this are common. As long as the decision improves service quality, productivity, and overall performance, the government will support it,” Bahlil said. “Our role is to back whatever benefits Pertamina and the national energy sector.”
